1. Who may use the Service
The Service is offered to businesses and professionals acting in the course of a trade, business, craft or profession. It is not intended for consumers, and by accepting these Terms you confirm you are not entering into this agreement as a consumer. Accordingly, the statutory consumer right of withdrawal does not apply; the trial described in Section 5 is what we offer in its place.
You must be at least 18 years old and legally able to enter into a binding contract. If you accept these Terms on behalf of an organization, you confirm you are authorized to bind that organization, and “you” means that organization.
2. Accounts & access
Rondo signs you in without a password: you request a one-time link by email, or you use “Sign in with Google”. There is deliberately no password to steal, which means access to your email account (or Google account) is access to your Rondo account. Keep it secure, and tell us promptly at [email protected] if you believe your account has been accessed without your authorization.
You are responsible for everything done through your account, including by anyone you give access to. You must provide accurate account and billing information and keep it current.
3. Brands & workspaces
Rondo is organized around brands. A brand is one voice, one set of topics, one calendar and its own channels. Creating a brand is free and requires no payment details; you choose a plan for a brand when you want Rondo to start generating for it.
Two limits keep unused brands from accumulating: you may hold up to five brands that have never had a plan at one time, and a brand that has never had a plan is deleted automatically 30 days after it was created. Brands that have or have had a plan are not subject to either limit. There is no cap on the number of subscribed brands you may run.
4. Plans, credits & payment
A plan is bought per brand, not per account. If you want Rondo generating for three brands, each needs its own plan; they are billed together under one payment method.
The current plans, prices, credit allowances and per-action credit price list are published at rondoplatform.com/pricing, which is incorporated into these Terms by reference. In summary:
- Credits are the unit of AI work. Each AI action has a fixed, published credit price, and each plan includes a monthly credit allowance.
- Credits do not roll over. Your allowance resets at the start of each billing month; unused credits expire and are not refunded or exchanged for cash.
- Running out of credits does not break anything. Content you have already approved continues to publish on schedule. You can buy a top-up pack or move up a plan to generate more.
- Top-up credits are a one-off purchase, are non-refundable, and are consumed on the same basis as plan credits.
- Prices are stated in euro and exclude VAT and any other applicable taxes, which are added where they apply. You are responsible for providing valid VAT details where relevant.
- Monthly plans are charged in advance each month; annual plans are charged once in advance for the year.
- We may change our prices. Your plan price is the one you signed up at for as long as you keep that plan, and we will notify you before any price change applies to you. Published credit prices for individual actions are restated from measured cost from time to time, and each restatement is recorded in our changelog.
Payment is processed by Stripe. We do not receive or store your full card details.
5. Trials
Where a trial is offered, it runs for 14 days on the plan stated at signup, includes 175 credits for the whole trial whichever plan it is on, and is available once per customer. The number of trials that can start each day is limited; when the day’s trials are taken, you can start one the next day or subscribe straight away. No payment method is required to start a trial, but the brand’s website is. To continue on the plan after the trial, add a payment method before it ends; the subscription then continues on the plan and price shown at signup, and the first charge is taken when the trial ends. If no payment method has been added by then, the trial ends, the subscription is cancelled and you are not charged. The brand is paused rather than deleted, and you can choose a plan for it at any time. If you have added a payment method and cancel before the trial ends, you are not charged.
We may refuse a trial, or end one early, where it repeats an earlier trial by the same person or business — for example under a different email address, or for a website that has already had a trial. Ending a trial early never results in a charge, and you can still choose a paid plan.
6. Changing or cancelling a plan
You can upgrade, downgrade or cancel any brand’s plan at any time from the app, which takes you to the Stripe billing portal to make the change. Unless stated otherwise at the time:
- Upgrades take effect immediately. The price difference is prorated by Stripe according to its standard handling, and Stripe issues the resulting invoice.
- Downgrades take effect from the next billing period. Nothing is deleted; your smaller credit allowance simply applies from then.
- Cancellation takes effect at the end of the billing period you have already paid for. You keep access until then. We do not give pro-rata refunds for a period already started, and fees already paid are non-refundable except where the law requires otherwise or we have expressly agreed otherwise in writing.
- Archiving a brand cancels that brand’s subscription immediately.
Export anything you want to keep before your access ends. After termination we delete your data in line with the retention periods in our Privacy Policy.
7. Failed payments
If a payment fails, you keep full access for seven days while the payment is retried. If it still has not gone through, the brand is paused rather than deleted: your content, voice and settings stay exactly where they are, and access is restored when payment succeeds. We may suspend or terminate an account that remains unpaid.
8. Your content & our rights
You own your content. That includes everything you put into the Service (your brand voice, product notes, sources, topics, edits) and, as between you and us, the drafts and images the Service generates for you and that you approve (together, “Customer Content”). We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, adapt and process Customer Content solely to provide, secure and support the Service for you, including sending it to the AI and publishing providers described in our Privacy Policy. This licence ends when the content is deleted, save for backups pending expiry. We do not use Customer Content to train AI models, and our AI providers are contractually not permitted to use it to train their public models.
You confirm that you have the rights necessary to provide your Customer Content and to have it published to the destinations you choose, and that doing so does not infringe anyone’s rights or breach any law.
We may use aggregated, de-identified statistics about how the Service is used (for example how many drafts a cohort approves, or what an AI action costs us) to operate, secure, price and improve the Service. Such statistics never identify you, your brand or any individual.
9. AI output & your responsibility for it
The Service uses large language models to research, draft, score and suggest. This has consequences you should read rather than assume:
- Output can be wrong. AI-generated text may contain factual errors, outdated information, or statements that sound authoritative and are not. Rondo runs a grounded fact-check over what it writes, which reduces this but does not eliminate it.
- Output is not guaranteed to be unique. Other users may receive similar output for similar inputs, and we make no warranty of originality.
- Output is not advice. Nothing the Service generates is legal, financial, medical, tax or professional advice, and you must not present it as such.
- You are the publisher. You are responsible for reviewing output for accuracy, legality, and compliance with any rules that apply to your industry or your channels, before you approve it.
10. Publishing is yours to approve
By design, the Service does not publish anything you have not approved. Every draft passes through human approval before it reaches a publishing destination. Scheduling is the one place this needs stating carefully: when you approve a draft for a future slot, you are approving its publication at that time, and it will be published then without asking you again. Unschedule or delete it if you change your mind.
Once content is published, you are the publisher of record for it on the destination platform, with the responsibility that carries.
11. Connected third-party platforms
The Service connects to platforms you choose: social networks, content management systems, email services, analytics providers. Those platforms are not ours and are governed by their own terms:
- You must only connect accounts you own or are authorized to operate, and your use of each platform through Rondo must comply with that platform’s own terms and policies. A platform’s rules on automation, disclosure or content apply to you even when Rondo does the posting.
- Third-party platforms change, deprecate and withdraw their APIs, and may rate-limit, reject, suspend or remove content or accounts for their own reasons. We are not responsible for their acts, omissions, outages, policy changes or decisions, and a feature that depends on a third-party API may change or stop working when that API does.
- You are responsible for the fees, quotas and compliance obligations of your own third-party accounts.
12. Acceptable use
You must not use the Service to:
- publish content that is unlawful, defamatory, harassing, hateful, or that infringes intellectual property, privacy or other rights;
- send unsolicited bulk email, or mail anyone who has not consented where consent is required, or breach anti-spam or e-privacy law;
- impersonate any person or organization, or publish to an account you are not authorized to operate;
- create content designed to deceive, such as fabricated reviews or endorsements, fake news, or material misrepresented as coming from someone else;
- generate content that sexualizes minors, facilitates serious harm, or breaches our AI providers’ usage policies;
- circumvent or tamper with credit metering, quotas, entitlements or any other technical limit;
- probe, scan, overload or interfere with the Service or its infrastructure, or attempt to access another customer’s data;
- reverse engineer, scrape or copy the Service, or use it to build a competing product; or
- resell, sublicense or provide the Service to third parties except by running their brands on your own account as an agency, in which case you remain responsible for those brands’ compliance with these Terms.
We may remove content or suspend access where we reasonably believe these rules have been breached. Where practical we will tell you first.
13. Availability, support & changes
We work to keep the Service available and will give reasonable notice of planned maintenance where we can, but the Service is provided without an uptime commitment or service-level agreement unless we have agreed one with you in writing.
Support is provided by email at [email protected]; we aim to reply within one business day.
We develop the Service continuously and may add, change or remove features. We will not make a change that materially reduces the core functionality of your paid plan without giving you reasonable notice; if such a change materially disadvantages you, you may cancel and we will refund the unused portion of any period paid in advance.
14. Beta features
Features labelled beta, preview or experimental are provided as-is, may change or be withdrawn at any time, may be unstable, and are excluded from any commitment in these Terms. Do not rely on them for anything you cannot afford to lose.
15. Our intellectual property
The Service itself (software, models of our own, prompts, design, documentation, the Rondo name and logo) belongs to us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, and nothing more. All rights not expressly granted are reserved.
We welcome feedback, and if you send it you allow us to use it to improve the Service without obligation or compensation to you. You keep any rights you have in the feedback itself.
16. Data protection
Our handling of personal data is set out in the Privacy Policy. In short: for your own account and the operation of the Service we act as controller; for end-user data that reaches us through the accounts and content you connect (newsletter subscribers, commenters, analytics) you are the controller and we act as your processor, handling it on your instructions.
If you use the Service in that way, you are responsible for having a lawful basis and your own privacy notice for that data. Where the GDPR requires a data processing agreement, ours is available on request at [email protected] and governs that processing, including our sub-processors and international transfers.
17. Confidentiality
Each of us may receive non-public information from the other. Both of us agree to use the other’s confidential information only to perform under these Terms, to protect it with at least reasonable care, and not to disclose it except to people who need it and are under equivalent obligations, or where disclosure is legally required. This does not apply to information that is public, already known, independently developed, or lawfully received from a third party.
18. Suspension & termination
You may stop using the Service and cancel at any time, as described in Section 6.
We may suspend or terminate your access, with notice where practical, if: you materially breach these Terms (including Section 12) and do not cure it within a reasonable period after we ask; your payment remains unsuccessful after the grace period in Section 7; we are required to by law; or your use poses a security, legal or reputational risk to us, our providers or other customers. Where the breach is serious, we may suspend immediately.
We may also discontinue the Service as a whole. If we do, we will give you reasonable advance notice and refund the unused portion of any period paid in advance.
On termination your right to use the Service ends, and your data is deleted in line with the retention periods in the Privacy Policy. Sections that by their nature should survive (including Sections 8, 15, 17, 19, 20, 21 and 25) survive termination.
19. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all warranties, conditions and representations not expressly stated in these Terms, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure.
In particular, and without limiting Section 9, we do not warrant that AI-generated output is accurate, original, suitable for your purpose, or compliant with any rule that applies to you. We also do not warrant any particular commercial result: reach, traffic, ranking, engagement, subscribers or revenue.
Nothing in these Terms excludes a liability or warranty that cannot lawfully be excluded.
20. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost goodwill, lost or corrupted data, or business interruption, even if advised such damages were possible.
- Our total aggregate liability arising out of or relating to the Service and these Terms is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, and (b) €100.
These limits do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intent or wilful misconduct, or to any other liability that cannot be limited under Dutch law. They also do not limit your obligation to pay fees due.
21. Indemnity
You will defend and indemnify us against third-party claims, and reasonable resulting costs, arising from: your Customer Content or anything you publish through the Service; your breach of these Terms, of a connected platform’s terms, or of applicable law; or your infringement of a third party’s rights. We will notify you of the claim, give you control of the defence (provided any settlement does not admit our fault or impose obligations on us), and cooperate reasonably at your expense.
22. Force majeure
Neither party is liable for a failure to perform caused by events beyond its reasonable control, including internet or hosting failures, acts of a third-party provider, power failures, industrial action, war, civil unrest, natural disaster, epidemic, or government action. Payment obligations are not excused.
23. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect for you, and will update the version and date above. If you do not accept a material change, you may cancel before it takes effect; continuing to use the Service after that means you accept the revised Terms. Non-material changes (clarifications, corrections, a new sub-processor already covered by our DPA) take effect when published.
24. General
- Entire agreement. These Terms, the Privacy Policy, the pricing page and any DPA or written order form between us are the whole agreement on this subject, and replace any earlier understanding.
- Your purchase terms do not apply. We expressly reject any general terms and conditions, purchase-order terms or vendor terms you put forward, unless we agree to them in a signed writing.
- No waiver. Not enforcing a right does not waive it.
- Severability. If a provision is unenforceable, the rest stands and the provision is read down to the minimum extent needed.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of assets.
- No third-party beneficiaries. These Terms create rights only between you and us.
- Notices. We may notify you at your account email address or in the app; notify us at [email protected].
- Language. These Terms are drawn up in English, and the English version governs.
25. Governing law & disputes
These Terms and any dispute arising out of them or the Service are governed by the laws of the Netherlands, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Disputes are subject to the exclusive jurisdiction of the competent Dutch courts. Before starting proceedings, please contact us at [email protected]; most issues are faster to resolve directly.
